Terms of service

1. Formation of Contract
It is assumed that the buyer, when placing an order, has acquainted themselves with these terms of sale and delivery. Offers from the seller are binding for 2 weeks from the date of the offer. Subject to prior sale. The seller and the buyer may require that the offer be signed by both parties. An order completed in the online store is considered an offer accepted by the buyer. If, between the date of the offer and the execution of the project, there are changes to VAT, customs duties or export charges, or if unforeseen surcharges and costs arise as a result of government intervention or legislation here or abroad, the seller has the right to include these in the offer prices.
Because SuperSellerS sells exclusively to businesses (B2B), the purchase is, pursuant to the Contracts Act, not covered by the Sale of Goods Act.

2. Prices and Price Guarantee
Prices in all our materials, printed, verbal and online, are stated exclusive of VAT and ex works (excluding freight). We reserve the right for typographical errors and price changes. Prices are quoted without handling fees or other charges. The seller provides a price guarantee on all standard items. The price guarantee applies if the buyer finds the same item at a lower price within 8 days after purchase. Price comparisons must be from Denmark, and the buyer must be able to document the price and that it is the same item delivered under the same conditions. If so confirmed, the seller will immediately issue a credit note for the price difference.

3. Payment
Payment terms are net cash and ex works. Cash payment upon collection. Prepayment can be made by bank transfer and by payment with Dankort, credit card or MobilePay. If the item is to be dispatched, payment is taken upon dispatch of the order. When paying by credit card, the buyer pays the card fee charged by the card issuer.

4. Delivery Time and Force Majeure
Delivery shall take place as soon as possible unless otherwise agreed. The seller aims to dispatch orders to Denmark placed before 12:00 the same day. The seller reserves the right to make partial deliveries. If a delivery time is stated, it applies subject to force majeure, accidents, possible delays in ordered materials and delays in manufacturing as a result of workshop accidents and delays from the seller's subcontractors. If a delay occurs, either the buyer or the seller may, by written notice to the other party, release themselves from the purchase/sale if the delay exceeds 3 months. 5. Shipment and Transfer of Risk
All shipments are at the buyer's expense and risk ex works. The order is considered delivered when the buyer or the buyer's carrier takes over the goods from the seller's warehouse. If a shipment is postponed due to the buyer's circumstances, risk transfers to the buyer from the day the goods should have been dispatched. If the seller deems special packaging necessary, he will carry this out at the buyer's expense.

6. Receipt and Complaints
The buyer is obliged to receive the goods at the time specified in the order confirmation. The buyer is obliged to inspect the goods immediately upon receipt. Complaints regarding defects must be made in writing to the seller within 3 days of delivery. If the buyer fails to complain within this deadline, he cannot later invoke any defects. The seller undertakes to repair, replace or otherwise remedy any defects as soon as possible. Complaints regarding damage during transport must be reported immediately to the carrier. The seller has no liability for operating losses, loss of profit or other indirect costs resulting from defective delivery.

7. Production and Product Development Rights
Goods developed by the seller may not be copied, cf. inter alia the Danish Marketing Practices Act provisions on this. All design material, proposals and offers are the property of the seller and may not be used, copied, published or made available to others without the seller's written permission.

8. Returned Goods
Returned goods are accepted only by agreement with the seller and only in undamaged condition and in the original packaging. A copy of the relevant invoice must be enclosed. Returned goods are sent at the buyer's risk and expense. The seller reserves the right to a 15% deduction/handling fee, but at least DKK 150 from the invoice price for returned goods. Specially manufactured or produced goods are not accepted for return. Goods with a value under DKK 350 are not accepted for return. Goods must be sent to Vidtskue Vej 12, 7100 Vejle.

9. Retention of Title
The seller reserves ownership of the goods sold until the entire purchase price and the costs associated with delivery of the goods have been paid by the buyer. Until full payment has been made, the goods must be kept insured by the buyer at new-for-old value against fire, theft and water damage.

10. Product Warranty
The seller provides a 12-month product warranty for product defects if it is shown that these are due to defects in the item's design or manufacture. This warranty obliges the seller to promptly replace, repair or otherwise remedy the defective goods. Replacement or repairs take place at the seller's premises. The product warranty does not cover defects attributable to wear and tear, improper use, insufficient maintenance or defects that could have been detected upon receipt.

11. Product Liability
The seller does not cover indirect losses caused by the seller's products. This includes, but is not limited to, operating losses, loss of profit or other indirect losses.
The seller is only liable for damage to real property or movable property that is not part of the goods delivered by the seller, when this is covered by the seller's product insurance. The seller is not liable for damage to products that have been manufactured and/or installed by the buyer - not even if the seller's products are included. To the extent that the seller may be held liable for product liability towards third parties, the buyer is obliged to indemnify the seller to the same extent. If a third party brings a claim against either party for damages under this clause, that party must immediately notify the other. The seller and the buyer are mutually obliged to submit to the jurisdiction of a court that handles claims for damages brought against either of them on the basis of damage alleged to have been caused by the delivery.

12. Privacy Policy
SuperSellerS understands and respects the importance of online privacy. We will not disclose information about customers/users to a third party except as necessary to carry out a transaction. SuperSellerS will never sell your name, address, e-mail address, credit card or personal data to any third party under any circumstances.

13. Supply Guarantee
The seller undertakes to be able to supplement a delivery within a reasonable period. It is reserved that the item may have been changed in design and/or discontinued by subcontractors.

14. Choice of Law and Jurisdiction
All transactions are subject to the "International Sale of Moveable Goods Act" (Consolidation Act no. 722 of 24.10.1986). The forum for disputes concerning the transaction is the Maritime and Commercial Court in Copenhagen.
